Terms and Conditions

1. Definitions

3. Payment Terms

3.1 Payment Structure

The Client agrees to pay the Company based on one of the following structures, as agreed upon in the Service Agreement:

• a) Hourly Rate: The Client will be billed at an agreed-upon rate for time spent on the project.
• b) Fixed Price: The Client will pay an agreed-upon amount for the determined scope of work.

4. Confidentiality

The Company agrees to maintain the confidentiality of any proprietary information shared by the Client during the course of the engagement.

5. Intellectual Property

Upon full payment, all rights to the delivered software transfer to the Client.

The Company retains the right to reuse generic components or code libraries not specific to the Client’s project.

6. Limitation of Liability

The Company shall not be held liable for any indirect, incidental, or consequential damages arising from the use of the delivered software.

7. Termination

Either party may terminate the agreement with 28 days written notice. Upon termination, the Client agrees to pay for work completed up to that date.

8. Dispute Resolution

Any disputes shall first be resolved through negotiation. If unresolved, disputes shall be submitted to binding arbitration in India.

9. Changes to Terms

The Company reserves the right to update these Terms and Conditions at any time, without prior notice.
